The 225th General Assembly (2022) created a Commission to Unify the Office of the General Assembly (OGA) and the Presbyterian Mission Agency (PMA) and mandated the Commission to a clear mandate to oversee and facilitate the unification of the Office of the General Assembly (OGA) and the Presbyterian Mission Agency (PMA) into a single agency. The description below for the Governing Board outlines the board’s purpose:
The work of the governing board
Following the Holy Spirit’s guidance, the [Unified Agency] Governing Board provides oversight of the [Unified Agency] and stewards its relationship to the General Assembly, its service to mid councils and congregations, and its engagement with the broader church in the world.
The primary tasks of the Governing Board are to:

Advise, guide, evaluate, support and collaborate with the Stated Clerk of the General Assembly and Executive Director of the [Unified Agency] (SC/ED)

Oversee the operations and performance of the [Unified Agency]

Fulfill fiduciary responsibility by
○ Establishing budget development and approval processes
○ Presenting a budget in collaboration with the Administrative Services Group, developed in collaboration with [Unified Agency] staff, to General Assembly

In collaboration with the SC/ED and the President of the A Corporation, establish and maintain standards of accountability throughout the [Unified Agency]

Ensure effective communication within the [Unified Agency] itself and with General Assembly commissioners, mid councils and congregations.

Maintain and nurture relationships with the other General Assembly agencies and entities of the PC(USA).
Additionally, the Governing Board will have the responsibility of continuing to guide the ongoing efforts of unification by working with the SC/ED’s senior leadership team and the Unification Management Office.
Nomination process
The members of the Governing Board will be nominated by the General Assembly Nominating Committee and will serve four-year terms divided into two classes. Nominees should reflect the General Assembly values related to diversity, equity and inclusion (F-1.0403) and other commitments such as geography and size of congregation. Members shall be ruling elders or teaching elders in good standing. Each of these ordered ministries will be represented at 50% of the elected body. Two members of the Unification Commission will be included in each of the first two classes. The SC/ED and the Moderator(s) of the General Assembly will be ex-officio members of the Board.
Time commitment and expectations of governing board members
The Governing Board may meet four times a year in person for two days with the possibility of additional virtual meetings. The work on behalf of the PC (USA) is a significant responsibility and attendance at meetings is expected. Each member will also be assigned to a standing committee that will meet virtually between in-person meetings.
